1. Taraflar ve kapsam
Bu koşullar, MGI Danışmanlık markası altında sunulan hizmetlerin kullanımını düzenler. MGI Danışmanlık, SMT GLOBAL LLC tarafından işletilen bir markadır. Bu metinde "biz" SMT GLOBAL LLC'yi, "müşteri" ise hizmet satın alan gerçek veya tüzel kişiyi ifade eder.

Her işin kapsamı, ödeme öncesinde size yazılı olarak iletilen teklifte veya ödeme sayfasında belirtilir.
3. Hizmetin niteliği ve sınırları
Biz bir avukatlık bürosu veya yeminli mali müşavirlik/CPA firması değiliz. Sunduğumuz hizmet, resmi başvuruların hazırlanması, takibi ve operasyonel danışmanlıktır; hukuki veya vergisel görüş niteliği taşımaz.
Resmi kurumların (eyalet sekreterlikleri, IRS, Companies House, HMRC) ve özel kuruluşların (bankalar, ödeme sağlayıcıları, Amazon ve diğer pazaryerleri) kararları bizim kontrolümüzde değildir. Bir hesabın açılacağını, onaylanacağını veya askıdan kaldırılacağını garanti etmeyiz. Belirtilen süreler tipik sürelerdir ve bu kurumların iş yüküne göre değişebilir.
4. Müşterinin yükümlülükleri
- Kimlik, adres ve şirket bilgilerini doğru, eksiksiz ve güncel olarak vermek
- Talep edilen belgeleri ve imzaları zamanında iletmek
- Kurulan şirketi yürürlükteki mevzuata uygun şekilde, hukuka aykırı olmayan faaliyetlerde kullanmak
Eksik veya yanlış bilgiden kaynaklanan gecikme, ret ve ek masraflardan müşteri sorumludur.
5. Fiyat ve ödeme
Fiyatlar web sitesinde veya size iletilen teklifte ABD doları (USD) cinsinden belirtilir. Devlet harçları ve üçüncü taraf ücretleri (eyalet tescil ücreti, registered agent ücreti vb.) teklifte ayrıca gösterilir. Ödemeler, Stripe altyapısı üzerinden kredi veya banka kartıyla alınır; kart bilgileriniz bizim sistemlerimizde saklanmaz.
İade ve iptal koşulları için İade ve iptal politikası geçerlidir.
6. Sorumluluğun sınırı
Yasaların izin verdiği ölçüde, herhangi bir hizmetle ilgili toplam sorumluluğumuz, müşterinin o hizmet için bize ödediği ücretle sınırlıdır. Dolaylı zararlardan, kâr veya satış kaybından ve üçüncü kişilerin kararlarından doğan zararlardan sorumlu değiliz.
7. Fikri mülkiyet
Web sitesindeki metin, tasarım ve logolar SMT GLOBAL LLC'ye veya ilgili hak sahiplerine aittir; izinsiz kopyalanamaz. Size teslim edilen resmi belgeler ve şirketinize ait kayıtlar size aittir.
8. Fesih
Taraflardan biri, yazılı bildirimle hizmet ilişkisini sona erdirebilir. Fesih, o tarihe kadar verilen hizmetlerin bedelini ve yapılmış masrafları ortadan kaldırmaz. Müşterinin hukuka aykırı faaliyette bulunduğunu tespit edersek hizmeti derhal durdurma hakkımız saklıdır.
9. Uygulanacak hukuk
Bu koşullar ABD New Jersey eyaleti hukukuna tabidir. Tüketici sıfatıyla hizmet alan müşterilerin ikamet ettikleri ülkenin emredici tüketici koruma hükümlerinden doğan hakları saklıdır.
10. Değişiklikler ve iletişim
Bu koşulları güncelleyebiliriz; güncel metin her zaman bu sayfada yayımlanır. Ödeme anında yürürlükte olan metin o işlem için geçerlidir.

1. Parties and scope
These terms govern the use of services offered under the MGI Danışmanlık (MGI Consulting) brand. MGI Danışmanlık is a brand operated by SMT GLOBAL LLC. In these terms, "we" means SMT GLOBAL LLC and "client" means the individual or entity purchasing a service.

- Formation of LLCs and corporations in the United States and LTD companies in the United Kingdom

The scope of each engagement is stated in the written quote or on the payment page before payment.
3. Nature and limits of the service
We are not a law firm, a certified public accountant or a chartered accountancy firm. Our service consists of preparing and tracking official applications and providing operational consulting; it does not constitute legal or tax advice.
Decisions of government bodies (secretaries of state, the IRS, Companies House, HMRC) and private institutions (banks, payment providers, Amazon and other marketplaces) are outside our control. We do not guarantee that any account will be opened, approved or reinstated. Stated timelines are typical and may vary with these institutions' workload.
4. Client obligations
- Provide accurate, complete and up-to-date identity, address and company information
- Deliver requested documents and signatures on time
- Use the company formed only for lawful activities and in compliance with applicable law
The client is responsible for delays, rejections and additional costs caused by missing or incorrect information.
5. Prices and payment
Prices are stated in US dollars (USD) on the website or in the quote sent to you. Government fees and third-party charges (state filing fees, registered agent fees, etc.) are shown separately in the quote. Payments are processed by card through Stripe; your card details are never stored on our systems.
Refunds and cancellations are governed by our Refund and Cancellation Policy.
6. Limitation of liability
To the extent permitted by law, our total liability for any service is limited to the fee the client paid us for that service. We are not liable for indirect damages, lost profits or sales, or damages arising from decisions of third parties.
7. Intellectual property
Text, design and logos on this website belong to SMT GLOBAL LLC or their respective owners and may not be copied without permission. Official documents delivered to you and records of your company belong to you.
8. Termination
Either party may end the engagement by written notice. Termination does not cancel fees for services already rendered or costs already incurred. We may suspend service immediately if we find that the client is engaged in unlawful activity.
9. Governing law
These terms are governed by the laws of the State of New Jersey, USA. Clients purchasing as consumers retain any rights granted by the mandatory consumer protection laws of their country of residence.
10. Changes and contact
We may update these terms; the current version is always published on this page. The version in force at the time of payment applies to that transaction.
